We are friends that left what most lawyers call “Big Law” jobs to work with the types of clients and on the types of projects we enjoyed the most. Scott started his legal career as a business transactions lawyer with a large Dallas based law firm before taking the job as the general counsel of a multi-national investment management group. Dawn was a partner in the Dallas office of a large nationally known law firm based out of New Orleans with a practice focused on commercial real estate and estate planning. While they left these positions for different reasons, they both desired to continue providing high quality legal services, but without the high cost associated with the downtown Dallas firms.

Why We Are Unique

We often hear from people that we don’t seem like lawyers. We view that as the highest of compliments because we try to approach legal work from a more practical perspective than most lawyers. Unlike firms that practice in many different areas of the law, we focus only on what we have done every day of our nearly 20 year legal careers. We founded our firm to bring this specialized expertise to our friends and neighbors in a cost effective manner. Whenever we are able to do so we give clients the option of a fixed fee at the start of a matter. As a result, they have certainty on their expense for the work and don’t have the constant nagging of a time clock adding up billable hours running in the background of every conversation.

Scott is a business transactions attorney with a practice focused on obtaining commercially viable solutions for his clients. He has extensive experience handling complex business transactions, investment fund structuring, business entity formation, capital formation, debt/equity investments, mergers and acquisitions, angel investments, private equity, venture capital, exit strategies, sales of businesses and business interests, joint ventures, spin-offs and divestitures, entity conversions, reorganizations, recapitalizations, international commerce, offshore entities and asset protection, for a broad range of clients ranging from fund managers, high net worth individuals, institutional investors, entrepreneurs, inventors, executives, business owners, family-owned businesses and privately-held companies. He has practiced for 18 years, including at a major law firm in Dallas and as the General Counsel and Chief Compliance Officer for the Private Equity and Alternative Investments Group of Lehman Brothers and Neuberger Berman. During his time as General Counsel, his group raised and deployed over $9 Billion of capital in private equity funds, co-investments and hedge funds. He also successfully advised the management team through a management buyout during the Lehman Brothers bankruptcy.

DAWN RAWLS

Dawn is a transactional attorney focused on commercial real estate and corporate matters with a focus on obtaining quality results for her clients.  She has extensive experience handling complex commercial real estate transactions as well as general business matters. In addition, she was Board Certified in the State of Louisiana in Estate Planning.  She has practiced for 20 years, including as a partner in a large New Orleans based law firm and worked in the tax group at a Big Four accounting firm.

Her experience includes representing tenants and landlords, developers and investors in acquisitions, dispositions and leases of commercial real estate. She also has extensive experience with financing and lending transactions for both borrowers and lenders.

Education

Louisiana State University School of Law, Juris Doctor.

Louisiana State University, Bachelor of Arts (Journalism-Advertising).

Dawn is licensed to practice in Louisiana, Ohio and Texas and has been licensed to practice law since 1995.

Austin’s practice focuses on commercial real estate transactions. He has experience  handling complex commercial real estate transactions as well as general business matters. His experience, includes representing tenants and landlords in commercial lease transactions.

MARY ELVIN (Paralegal)
Mary is a paralegal with expertise in real estate, corporate and estate planning and probate matters. She received a Bachelor of Science degree from Kansas State University and a paralegal certificate from the Southern Methodist University CAPE. Mary is also certified to provide guardianship services by the Texas Guardianship Certification Board.


Dee Ann BondDEE ANN BOND (Executive Assistant/Office Manager)

Dee Ann has over 30 years of experience as an Executive Assistant and Office Manager.  Dee Ann ensures the day to day operations of our Firm run smoothly so our team can focus all of their time and attention on assisting clients.
